Pennington’s analysis finds that the most significant risks in inherited commercial real estate arise from behavioral and structural issues rather than property condition or tenant performance. The primary culprits are decision avoidance, misaligned incentives, and what Pennington calls the stewardship-versus-entanglement gap: the difference between ownership that is willingly accepted and ownership that is imposed without alignment or preparation.

“Leaving commercial real estate to heirs is often framed as a legacy,” said Pennington. “In practice, those assets can create pressure, uncertainty, and difficult decisions when ownership expectations are unclear or unexamined.”

The article identifies three foundational questions that most estate plans never address directly: whether heirs actually want to own commercial real estate, whether geographic distance can be effectively managed, and whether heirs possess the real estate literacy required to distinguish active management from passive income.

Pennington directly addresses what he calls the passive ownership myth, noting that commercial real estate requires ongoing capital decisions, debt management, and long-term strategic oversight regardless of whether professional property management is in place.
